01Introduction
These Terms of Service (the "Terms") are a legal agreement between you and Codend ("Codend", "we", "us"). They govern your use of codend.dev, the Codend app at app.codend.dev, sites published on codend.site, and every product, feature and service we offer there (together, the "Services").
By creating an account, starting a task or otherwise using the Services, you confirm that you have read these Terms, agree to them, and agree to our Privacy Policy, which explains how we handle personal data. If you don't agree, don't use the Services.
You may accept these Terms for yourself or on behalf of a company or other organisation. If you accept on behalf of an organisation, you confirm that you have the authority to bind it, and "you" then means that organisation.

03Your account
Who can use Codend
You must be at least 16 years old, or the minimum age required to consent to online services where you live if that is higher, to create an Account. You must be an adult who can enter into a binding contract to buy a paid plan or Credits.
Keeping your Account safe
Give us accurate information and keep it up to date. You are responsible for keeping your sign-in details secure and for everything done through your Account. Tell us at privacy@codend.dev as soon as you suspect anyone else has access to it.
One person per Account
An Account is for one person. Don't share it, sell it or transfer it, and don't create several Accounts to get around free limits or a suspension.
04Using the Services
Our permission to you
As long as you follow these Terms, we give you a personal, worldwide, non-exclusive, non-transferable and revocable right to use the Services for your own or your organisation's purposes.
What you may not do
You may not use the Services, or help anyone else use them, to:
- break any law, or infringe anyone's intellectual property, privacy or other rights;
- create, host or spread malware, phishing pages, scams, spam or content that impersonates another person or organisation;
- attack, probe or disrupt any system or network, including ours, for example with denial-of-service traffic, exploit code aimed at systems you aren't authorised to test, or credential stuffing;
- mine cryptocurrency, run proxies or open relays, or use the Sandboxes for anything other than the Task they belong to;
- get around usage limits, Credits, payments, access controls or other safeguards, or use automated means to create Accounts;
- copy, resell or re-host the Services, or reverse engineer them except where the law expressly allows it;
- use the Services or their Output to build or train a product that competes with Codend;
- create or share content that sexually exploits children, promotes violence or terrorism, or harasses, threatens or discriminates against people;
- process special categories of personal data, such as health or biometric data, unless the law allows it and you have the right to.
We may investigate suspected misuse and take the steps described in section 14.
05The agent and your code
The Agent acts on your instructions. It reads, writes and runs code in a Sandbox created for your Task, and it can use the tools and Connected Services you make available to it.
- Your repositories. The Agent only works in repositories you choose to connect. It makes changes on its own branch and opens pull requests; it does not push to your default branch. Actions that write to GitHub, such as opening a pull request, follow the approvals shown in the chat.
- You decide what ships. You are responsible for reviewing the Agent's work before you merge, deploy, publish or otherwise rely on it, and for what you do with it.
- Commands and costs. Code the Agent runs in a Sandbox can reach the internet and the services you connect. Don't give it credentials or access you aren't comfortable for an automated system to use on your behalf.
- Scheduled tasks. When you schedule a Task, the Agent runs it at the times you choose and uses Credits each time, until you pause or delete it.
06Connected services
When you connect a third-party service, you authorise Codend to access it on your behalf, within the permissions you grant, to carry out your Tasks. Your use of each Connected Service is governed by that service's own terms and privacy policy, and we are not responsible for Connected Services.
You can disconnect a Connected Service at any time from your settings or from the service itself. Some features stop working while it is disconnected.
07Published sites and share links
Published sites
You can publish sites you build with Codend to an address on codend.site or to a domain you own. You are responsible for every site you publish and everything on it, as its publisher. Published sites must follow section 4; we may remove or disable any site that doesn't, that we receive a valid legal complaint about, or that puts visitors or the Services at risk.
Addresses on codend.site
An address on codend.site is provided for as long as you have an Account in good standing. It does not belong to you. We may reclaim or change an address that is misleading, infringes someone's rights, impersonates a brand, or has been unused for a long time.
Your own domain
To connect a custom domain, you must own it or be authorised to use it. You remain responsible for the domain's registration, renewal and DNS.
Share links
When you share a Task or publish a site that anyone with the link can open, anyone who has the link can see what you shared. Share only what you are comfortable making visible, and turn sharing off when you no longer need it.
08Plans, credits and payments
Plans
Codend offers a free plan and paid plans. What each plan includes, such as Credits, models and features, is described on our pricing page at the time you subscribe. Free plans can change or end at any time.
Credits
- Using the Agent consumes Credits. How many depends on the work: the model used, the length of the conversation, the tools it calls and how long its Sandbox runs. The app shows your balance and usage.
- Credits included in a plan are added at the start of each billing period or day as described for that plan, and unused plan Credits do not roll over.
- Credits you buy separately are used after your plan's Credits and stay available as described when you buy them.
- Credits have no cash value. They can't be sold, transferred or exchanged for money, except where the law requires it.
- When you run out of Credits, Tasks pause until you have more.
Payments and our merchant of record
Payments are processed by Polar (polar.sh), which acts as our merchant of record and reseller. Polar handles payment, invoicing and the sales taxes that apply where you live, and its own terms apply to the payment. Prices are shown before you pay; taxes may be added at checkout.
Renewals and cancellation
Paid plans renew automatically at the end of each billing period, monthly or yearly, and you authorise us and Polar to charge your payment method on each renewal until you cancel. You can cancel at any time in Settings > Billing; your plan stays active until the end of the period you have paid for and does not renew after that.
Changing plans
When you move to a higher plan, a prorated charge may apply. Review the amount and renewal details before confirming. Additional monthly Credits are prorated for the remaining period. When you move to a lower plan, the change normally takes effect at your next renewal.
Price changes
We may change our prices. A new price for a plan you already have applies from your next renewal after we have given you at least 30 days' notice, and you can cancel before it takes effect.
Refunds
Purchases are generally non-refundable, subject to billing errors, delivery failures, applicable law and Polar's Buyer Terms, as described in our Refund Policy. If a charge looks wrong, contact us at hello@codend.dev so we can investigate with Polar.
Failed payments
If a renewal payment fails, we may retry it, move your Account to the free plan, or limit paid features until the payment succeeds.
09AI output
AI models can produce Output that is wrong, incomplete, insecure, or similar to Output produced for other people. Output is not professional, legal, financial, medical or security advice.
You are responsible for checking Output before you use it, especially before you deploy code, publish a site or make a decision based on it. Don't present Output as written by a human when that would mislead people, and follow the law and these Terms when you use it.
10Your content and data
You own Your Content
As between you and Codend, you own your Input and, to the extent the law allows, you own the Output made for you. We don't claim ownership of either.
The permission you give us
You give Codend a worldwide, non-exclusive, royalty-free licence to host, store, copy, process and display Your Content only as needed to provide, secure and support the Services for you, including passing it to the providers in section 11 for that purpose. If you publish a site or share a link, the licence also covers showing that content to the people you share it with.
No training on your work
We don't use your code, repositories or Your Content to train AI models.
Your responsibilities
You confirm that you have the rights you need in your Input, and that giving it to Codend doesn't break any law, agreement or anyone's rights. Keep your own backups of anything important. Our handling of personal data is described in our Privacy Policy.
11Infrastructure and AI providers
The Services rely on third-party infrastructure and AI providers, for example for hosting, databases, sandboxes, publishing, email and AI models. We pass them only what they need to provide their part of the Services. Their availability and behaviour can affect Codend, and we may change providers or models at any time, including the models offered on each plan.
12Preview features
Some features may be labelled as a preview, beta or similar. They may change, stop working or be withdrawn at any time, and they are provided without any commitment about availability or quality.
13Our rights and feedback
Codend and its licensors own the Services, including the software, design, brand, models' configuration and documentation, apart from Your Content. These Terms don't give you any right to our names, logos or trademarks.
If you send us ideas or feedback, we may use them freely and without any obligation to you.
14Suspension and termination
Your choice
You can stop using the Services and delete your Account at any time. Cancelling a paid plan is covered in section 8.
Our choice
We may suspend or close your Account, remove content, or limit features if you break these Terms, if your use puts other people, the Services or us at risk, if a payment is reversed or not made, or if the law requires it. Where it is reasonable and allowed, we will tell you first and give you a chance to fix the problem.
What happens next
When your Account is closed, your right to use the Services ends, published sites and share links stop working, and unused Credits are lost unless the law says otherwise. We delete Your Content within a reasonable time, except what we must keep by law or to resolve disputes. Sections that by their nature should continue, such as 10, 13 and 15 to 20, continue after the Terms end.
15Disclaimers
To the fullest extent the law allows, the Services and all Output are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement and accuracy. We don't promise that the Services will be uninterrupted, error-free or secure, or that Output will be correct or fit your needs.
Some places don't allow these exclusions. Where that is the case, they apply only as far as the law allows, and your statutory rights as a consumer are not affected.
16Limitation of liability
To the fullest extent the law allows, Codend is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Services or these Terms, even if we were told they were possible.
To the fullest extent the law allows, our total liability for all claims relating to the Services or these Terms is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or 50 US dollars.
Nothing in these Terms limits liability that can't be limited by law, such as liability for fraud or for death or personal injury caused by negligence.
17Indemnification
To the extent the law allows, you will defend and compensate Codend for claims, losses and costs, including reasonable legal fees, brought by third parties that arise from Your Content, sites you publish, your use of the Services in breach of these Terms, or your breach of the law or anyone's rights.
18Copyright and illegal content
If you believe content on the Services or a site published with Codend infringes your copyright or other rights, or is illegal, write to hello@codend.dev with:
- the address of the content or site;
- a description of the work or right you believe is infringed, or why the content is illegal;
- your name and contact details, and a statement that the information in your notice is accurate and that you are the rights holder or authorised to act for them.
We review every notice, may remove or disable the content, and may close the Accounts of repeat infringers. To report a security issue in Codend itself, write to the same address and don't test against other users' data.
19Changes to the Services and these Terms
We improve the Services all the time and may add, change or remove features. We may also update these Terms. For changes that materially affect your rights, we will give you at least 30 days' notice by email or in the app before they take effect, unless a change is needed sooner for legal or security reasons. Previous versions stay available on this page. If you keep using the Services after a change takes effect, you accept the updated Terms; if you don't agree, stop using the Services and cancel your plan.
20General
- Entire agreement. These Terms, together with the policies they refer to, are the whole agreement between you and Codend about the Services.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets, or to an affiliate.
- No waiver. If we don't enforce a part of these Terms, that doesn't mean we give up the right to enforce it later.
- Severability. If a court finds any part of these Terms unenforceable, the rest stays in effect.
- Independent parties. Nothing in these Terms creates a partnership, employment or agency relationship.
- Sanctions and export. You may not use the Services where, or in a way that, applicable sanctions or export laws forbid.
- Events beyond our control. We are not responsible for delays or failures caused by events we can't reasonably control, such as outages of our providers, network failures or natural disasters.
- Notices. We may send you notices by email to the address on your Account or in the app. You can send notices to privacy@codend.dev.
- Language. These Terms are written in English. If we provide a translation and it differs, the English version applies.
